WyzeCare Terms of Service

Effective Date: October 22, 2025

Welcome to WyzeCare. These Terms of Service (“Terms”) govern your access to and use of the WyzeCare website, applications, AI check-in system, and related services (collectively, the “Services”).
By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you do not agree, you may not use WyzeCare.


1. About WyzeCare

WyzeCare is a service operated by WyzeCloud LLC, located in Nevada.
WyzeCare provides AI-powered check-in and wellness monitoring tools to help caregivers, families, and healthcare facilities stay connected with elderly individuals living independently.

WyzeCare is not a medical provider and does not offer medical diagnosis, treatment, or emergency response services.


2. Eligibility

To use WyzeCare, you must:

  • Be at least 18 years old or a legally authorized representative of a care facility.
  • Provide accurate, current, and complete registration information.
  • Use the Services in compliance with all applicable laws and regulations.

Accounts created for individuals receiving care (“Care Recipients”) must have explicit consent from that person or their authorized guardian.


3. Account and Facility Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Facilities are responsible for managing user permissions, patient data, and ensuring appropriate access to authorized caregivers only.
  • You agree not to use the Services for unlawful purposes, data scraping, or reverse engineering.

WyzeCare reserves the right to suspend or terminate accounts that violate these Terms or pose a security or compliance risk.


4. Service Features and Limitations

WyzeCare uses AI-assisted voice and data technology to perform scheduled check-ins and capture wellness responses. While we design the system for reliability and accuracy:

  • AI responses may not always interpret user input correctly.
  • The Service is not a substitute for direct human oversight, emergency contact, or licensed medical care.
  • In the event of an emergency, you must contact 911 or your local emergency services.

5. Subscription and Billing

  • Facilities and individual users may subscribe through the WyzeCare platform or authorized partners.
  • Subscription fees, renewal terms, and license counts are displayed at checkout and in your account settings.
  • Adding additional patient licenses may trigger immediate prorated billing. Reducing licenses takes effect at the next billing cycle.
  • All payments are processed securely through Stripe, and WyzeCare does not store your full payment details.

Refunds, if applicable, are governed by our Refund Policy, available on request.


6. Test and Promotional Accounts

Facilities may receive a coupon or code for one “test patient” license. This license is free for demonstration and evaluation purposes only.
Test accounts may be suspended or deleted after a defined trial period.


7. Data Privacy and Security

Your use of the Services is also governed by our Privacy Policy.
WyzeCare operates on HIPAA-ready infrastructure using AWS, Twilio, and Retell for hosting, telephony, and data processing.

WyzeCare may retain interaction metadata (such as timestamps or response summaries) for operational integrity and quality assurance.
You retain ownership of all care-related data you enter into the system.


8. Facility and Administrator Controls

Facilities can manage license counts and user access within their account:

  • Increasing licenses triggers immediate payment.
  • Reducing licenses applies at renewal.
  • WyzeCare staff may adjust pricing when negotiated directly with facility administrators.

Facilities are responsible for ensuring that any custom scripts or questions created within WyzeCare comply with applicable laws and do not contain medical directives or advice.


9. AI Limitations and Disclaimer

WyzeCare uses artificial intelligence to assist with communication, reminders, and summaries.
AI may occasionally produce incomplete or inaccurate results. WyzeCare does not guarantee the accuracy or completeness of AI-generated content.

All AI features are provided “as is” and are intended solely for informational and monitoring purposes. They are not designed to diagnose, treat, or prevent any disease.


10. Prohibited Uses

You agree not to:

  • Use WyzeCare for any unlawful, abusive, or harmful purpose
  • Upload content that is misleading, defamatory, or invasive of privacy
  • Attempt to interfere with or disrupt the platform
  • Reproduce, distribute, or resell any part of the Services without written consent

WyzeCare reserves the right to terminate accounts for misuse or violation of these Terms.


11. Intellectual Property

All intellectual property rights in the WyzeCare platform, including software, designs, text, and logos, are owned by WyzeCloud LLC or its licensors.
You may not copy, modify, or distribute any part of the Service without prior written consent.


12. Termination

You may cancel your subscription at any time through your account.
WyzeCare may suspend or terminate access if:

  • You breach these Terms,
  • You misuse the Services, or
  • Continued access poses a security or compliance risk.

Upon termination, your access will cease, but certain obligations (including payment, confidentiality, and indemnification) will survive.


13. Disclaimers and Limitation of Liability

WyzeCare provides its Services “as is” and “as available.”
We make no warranties regarding uninterrupted access, accuracy, or reliability.

To the fullest extent permitted by law:

  • WyzeCare and WyzeCloud LLC are not liable for indirect, incidental, or consequential damages arising from use of the Services.
  • Total liability for any claim will not exceed the amount paid for the Services during the previous 12 months.

14. Indemnification

You agree to indemnify and hold harmless WyzeCare, WyzeCloud LLC, and their officers, employees, and partners from any claims, losses, or expenses arising from your use of the Services, violation of these Terms, or misuse of data.


15. Changes to These Terms

We may update these Terms periodically. The updated version will be posted on our website with a revised effective date.
Continued use after changes means you accept the updated Terms.


16. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
